MUSES TALKCONTENT RELEASE, MEDIA & LIKENESS AGREEMENT
This Content Release, Media & Likeness Agreement (“Agreement”) is entered into by and between SLEEKLA (“SLEEKLA,” “Company,” “we,” “us,” or “our”) and the undersigned participant (“Participant,” “Creator,” “you,” or “your”) in connection with the MUSES Talk Podcast, Photoshoot, and related media productions (“Production”).
By signing this Agreement, Participant acknowledges and agrees to the following:
1. PARTICIPATION & CONTENT CREATIONParticipant voluntarily agrees to participate in the MUSES Talk Podcast, photoshoots, interviews, video productions, social media content, promotional activities, events, and/or other related productions.
During the Production, SLEEKLA and/or its authorized representatives may photograph, record, film, interview, livestream, or otherwise capture Participant's:

GRANT OF RIGHTSParticipant hereby grants SLEEKLA, its affiliates, subsidiaries, partners, licensees, successors, assigns, representatives, and authorized third parties a worldwide, perpetual, irrevocable, royalty-free, transferable and sublicensable right and license to use, reproduce, publish, display, distribute, transmit, broadcast, stream, edit, modify, adapt, crop, combine, remix, create derivative works from, and otherwise exploit the Content.
This permission includes the right to use the Content:
3. NAME, IMAGE, LIKENESS & VOICE RELEASEParticipant specifically authorizes SLEEKLA to use Participant's:
name, professional name, Instagram handle, photograph, likeness, image, voice, appearance, biography, statements, interview responses and other identifying characteristics in connection with the Content.
SLEEKLA may identify, tag, mention or otherwise reference Participant in connection with the Content.
Participant understands that the Content may remain publicly available indefinitely.
4. EDITING & CREATIVE CONTROLParticipant understands that SLEEKLA may edit the Content in its sole creative discretion.
This may include:
SLEEKLA will not intentionally use the Content in a manner that falsely represents Participant as endorsing an unrelated product, service, political position, or cause without additional authorization.
5. OWNERSHIP OF PRODUCTION CONTENTTo the extent permitted by law, all photographs, video recordings, audio recordings, podcast recordings, graphics, edited clips, promotional materials and other original materials created by or on behalf of SLEEKLA during the Production shall be owned by SLEEKLA or its applicable content creators, contractors, production partners or licensors.
Participant does not acquire ownership of the Production Content merely by participating in the Production.
Nothing in this Agreement transfers ownership of Participant's pre-existing intellectual property, trademarks, photographs, artwork, music, videos, or other materials that Participant independently owns.
6. SOCIAL MEDIA & PROMOTIONAL USEParticipant authorizes SLEEKLA to post and promote the Content on its social media accounts and digital platforms.
SLEEKLA may also:
7. COMMERCIAL & ADVERTISING USEParticipant understands and agrees that SLEEKLA may use the Content in connection with commercial activities, sponsorships, advertising, brand partnerships, promotions, memberships, events, publications, products and services.
Unless otherwise agreed to in writing, Participant will not receive additional compensation, royalties, residuals, commissions or other payments based solely on SLEEKLA's use, reproduction, distribution or monetization of the Content.
Any separate compensation specifically agreed upon for the Production should be documented in writing separately
8. PODCAST DISTRIBUTIONParticipant authorizes SLEEKLA to distribute the MUSES Talk episode and related recordings through podcast platforms, websites, social media, video platforms and other distribution channels.
SLEEKLA may also create and distribute excerpts, clips, trailers, promotional videos, quotes and short-form content from the interview.
9. NO REQUIRED APPROVALParticipant understands that SLEEKLA is not required to obtain Participant's approval before publishing, editing, distributing or promoting the Content.
Participant waives any right to inspect or approve the final Content or promotional materials before publication, to the extent permitted by applicable law.
10. NO OBLIGATION TO USE CONTENTParticipant understands that SLEEKLA has no obligation to publish or use any Content created during the Production.
SLEEKLA may choose to use some, all, or none of the Content.
11. COMPENSATIONUnless specifically stated otherwise in writing, Participant acknowledges that participation in the Production and the rights granted under this Agreement are provided without additional compensation.
Participant agrees that the opportunity to participate in the MUSES Talk Podcast, photoshoot, promotional production, networking opportunities and related exposure constitutes sufficient consideration for this Agreement where applicable.
12. PARTICIPANT REPRESENTATIONSParticipant represents that:

RELEASE OF CLAIMSTo the extent permitted by applicable law, Participant releases and holds harmless SLEEKLA and its owners, officers, employees, contractors, photographers, videographers, producers, affiliates, partners, agents, successors and assigns from claims arising from the authorized use of the Content, including claims relating to publicity, privacy, likeness, defamation, or emotional distress, except to the extent caused by conduct that cannot legally be released.
This release does not waive claims that cannot legally be waived under applicable law.
14. NO GUARANTEE OF EXPOSURE OR OPPORTUNITIESParticipant understands that participation in MUSES Talk does not guarantee:
15. TERMThe rights granted under this Agreement are perpetual and shall continue worldwide for the maximum period permitted by applicable law.
Participant understands that once Content has been published, distributed, licensed, printed, archived or incorporated into other materials, SLEEKLA may not be able to completely remove every existing copy from third-party platforms, search engines, social media, reposts or other distribution channels.
16. ELECTRONIC SIGNATUREParticipant agrees that an electronic signature, digital signature, checkbox acknowledgment, online submission or electronically executed copy of this Agreement shall have the same legal effect as an original handwritten signature, to the extent permitted by law.
17. GOVERNING LAWThis Agreement shall be governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.
By signing this Agreement, Participant acknowledges and agrees to the following:
1. PARTICIPATION & CONTENT CREATIONParticipant voluntarily agrees to participate in the MUSES Talk Podcast, photoshoots, interviews, video productions, social media content, promotional activities, events, and/or other related productions.
During the Production, SLEEKLA and/or its authorized representatives may photograph, record, film, interview, livestream, or otherwise capture Participant's:
- Name
- Image
- Likeness
- Voice
- Appearance
- Statements
- Interview responses
- Performance
- Social media handle
- Biography and professional information
- Photographs and video
- Behind-the-scenes content
- Other materials created during the Production
2. GRANT OF RIGHTSParticipant hereby grants SLEEKLA, its affiliates, subsidiaries, partners, licensees, successors, assigns, representatives, and authorized third parties a worldwide, perpetual, irrevocable, royalty-free, transferable and sublicensable right and license to use, reproduce, publish, display, distribute, transmit, broadcast, stream, edit, modify, adapt, crop, combine, remix, create derivative works from, and otherwise exploit the Content.
This permission includes the right to use the Content:
- On websites
- Social media platforms
- TikTok
- YouTube
- Podcasts
- Streaming platforms
- Mobile applications
- Digital advertisements
- Print advertisements
- Magazines
- Editorial publications
- Promotional materials
- Marketing campaigns
- Event promotions
- Press releases
- Email marketing
- Paid advertising
- Sponsorship materials
- Brand partnership materials
- Presentations
- Digital and physical media
- Future SLEEKLA/MUSES properties and platforms
- Any other media or technology now known or later developed

SLEEKLA may identify, tag, mention or otherwise reference Participant in connection with the Content.
Participant understands that the Content may remain publicly available indefinitely.
4. EDITING & CREATIVE CONTROLParticipant understands that SLEEKLA may edit the Content in its sole creative discretion.
This may include:
- Cutting or shortening footage
- Editing interviews
- Selecting photographs
- Color correction
- Retouching
- Adding graphics
- Adding music
- Adding captions
- Creating short-form clips
- Creating promotional reels
- Combining Content with other material
- Creating advertisements
- Creating compilations
- Creating derivative promotional materials
SLEEKLA will not intentionally use the Content in a manner that falsely represents Participant as endorsing an unrelated product, service, political position, or cause without additional authorization.
5. OWNERSHIP OF PRODUCTION CONTENTTo the extent permitted by law, all photographs, video recordings, audio recordings, podcast recordings, graphics, edited clips, promotional materials and other original materials created by or on behalf of SLEEKLA during the Production shall be owned by SLEEKLA or its applicable content creators, contractors, production partners or licensors.
Participant does not acquire ownership of the Production Content merely by participating in the Production.

6. SOCIAL MEDIA & PROMOTIONAL USEParticipant authorizes SLEEKLA to post and promote the Content on its social media accounts and digital platforms.
SLEEKLA may also:
- Tag Participant's social media account
- Use Participant's Instagram handle
- Repost Content
- Create collaborative posts
- Create advertisements using Content
- Boost or promote posts containing Participant
- Use Content in sponsored campaigns
- Use Content to promote future MUSES Talk productions
- Use Content to promote SLEEKLA and its related businesses and platforms
7. COMMERCIAL & ADVERTISING USEParticipant understands and agrees that SLEEKLA may use the Content in connection with commercial activities, sponsorships, advertising, brand partnerships, promotions, memberships, events, publications, products and services.
Unless otherwise agreed to in writing, Participant will not receive additional compensation, royalties, residuals, commissions or other payments based solely on SLEEKLA's use, reproduction, distribution or monetization of the Content.
Any separate compensation specifically agreed upon for the Production should be documented in writing separately

Participant agrees that the opportunity to participate in the MUSES Talk Podcast, photoshoot, promotional production, networking opportunities and related exposure constitutes sufficient consideration for this Agreement where applicable.
12. PARTICIPANT REPRESENTATIONSParticipant represents that:
- Participant is at least 18 years of age;
- Participant has the legal capacity to enter into this Agreement;
- Participant is voluntarily participating in the Production;
- Participant has not entered into any agreement that would prevent Participant from granting the rights contained in this Agreement;
- Participant will not knowingly provide SLEEKLA with material that infringes another person's intellectual property rights; and
- The information provided by Participant in connection with this Agreement is accurate.
13. RELEASE OF CLAIMSTo the extent permitted by applicable law, Participant releases and holds harmless SLEEKLA and its owners, officers, employees, contractors, photographers, videographers, producers, affiliates, partners, agents, successors and assigns from claims arising from the authorized use of the Content, including claims relating to publicity, privacy, likeness, defamation, or emotional distress, except to the extent caused by conduct that cannot legally be released.
This release does not waive claims that cannot legally be waived under applicable law.
14. NO GUARANTEE OF EXPOSURE OR OPPORTUNITIESParticipant understands that participation in MUSES Talk does not guarantee:
- Employment
- Modeling opportunities
- Brand partnerships
- Sponsorships
- Magazine features
- Casting opportunities
- Social media exposure
- Followers
- Revenue
- Future appearances
15. TERMThe rights granted under this Agreement are perpetual and shall continue worldwide for the maximum period permitted by applicable law.
Participant understands that once Content has been published, distributed, licensed, printed, archived or incorporated into other materials, SLEEKLA may not be able to completely remove every existing copy from third-party platforms, search engines, social media, reposts or other distribution channels.
